OpenPayd, a financial infrastructure provider, has completed the integration of MSB USA Inc., bringing 43 state Money Transmitter Licenses under its umbrella. The strategic acquisition, finalized following regulatory approvals, expands the London-based company’s regulated footprint across the United States and positions it for growth in the North American market ahead of its planned Nasdaq listing.

  • Annual Recurring Revenue (ARR): $96 million as of July 31, 2026
  • Annualized Transaction Volume: $300 billion
  • Global Client Base: 1,200+ businesses including Kraken, eToro, OKX and B2C2
  • Nasdaq Ticker Symbol: OP (expected fourth quarter 2026)
  • Proposed Equity Valuation: $1.145 billion

MSB USA, founded by OpenPayd‘s founder, Dr. Ozan Ozerk, will operate under its existing leadership team while preparing for full platform integration. The licensed money services business provides domestic and international money transmission, payment processing, and USD payment capabilities, including ACH, Fedwire, and SWIFT services. The expansion follows OpenPayd‘s recent authorization under the European Union’s Markets in Crypto-Assets framework from the Malta Financial Services Authority.

Regulated infrastructure spanning both fiat and digital assets on both sides of the Atlantic is something few providers can claim, with foundations now spanning the U.S., U.K. and Europe.

The acquisition supports OpenPayd‘s organic growth momentum. The company is profitable, has taken no external capital, and serves clients across payments, accounts, foreign exchange, and stablecoin on- and off-ramp services. OpenPayd‘s combination with Titan Acquisition Corp. (Nasdaq: TACH) is expected to close in the fourth quarter of 2026, subject to shareholder approval and customary closing conditions.
