Plus500 Ltd., the multi-asset fintech trading platform operator, accelerated the vesting of share awards for executives on 26 August 2026, bringing forward approximately 2.7 million ordinary shares originally scheduled to vest in late 2026 and throughout 2027. The acceleration, previously approved by shareholders at the company’s May 2026 Annual General Meeting, affects Chief Executive Officer David Zruia and Chief Financial Officer Elad Even-Chen, while the total number of shares awarded and the underlying performance conditions remain unchanged.
- Shares accelerated (2027 awards): 1,459,738 ordinary shares
- Shares accelerated (2026 awards): 1,274,474 ordinary shares
- Total voting rights: 71,224,677 ordinary shares
- Treasury shares held: 43,663,700 ordinary shares
The allotment relates to multiple incentive arrangements, including long-term incentive plan components and deferred bonus awards spanning 2024 through 2027. Zruia received 637,237 shares directly and 729,869 shares to be held in trust, while awards granted through Elad Even-Chen Consulting Service Ltd. also proceeded on the same date. The company confirmed these share issuances were made outside trading venues at nil consideration, consistent with vesting mechanics under existing remuneration arrangements.
All accelerated awards remain subject to key performance indicators (KPIs) assessed at year-end. Plus500 stated that shares attributable to unmet performance conditions will be forfeited according to plan rules, preserving the link between compensation and operational delivery. The company does not anticipate further share allotments to either executive before the end of 2027.
The disclosure, filed under EU Market Abuse Regulation requirements as applied in the UK, reflects Plus500‘s compliance with Disclosure Guidance and Transparency Rules. Following the allotment and concurrent repurchase of 13,150 shares, the company’s total voting rights stood at 71.2 million shares, the denominator for shareholder disclosure obligations.
