Brazil’s Securities Commission (CVM) has suspended the public offering of NTZ Empreendimentos FIDC Multicarteira Resp Limitada, a credit rights investment fund, citing persistent regulatory violations that were not addressed following a modification to the offering. The suspension affects the senior subclasses of the fund’s second and third series, as well as the subordinated mezzanine subclass of the second series.

The Securities Registration Superintendency (SRE) identified multiple unresolved deficiencies in the fund’s documentation, according to an official notice issued on July 20, 2026. Key issues include reconciliation gaps in information on loan originators and debtors listed in the prospectus, ambiguity regarding the cotist waiver of preferential rights, and missing financial statements for debtors belonging to the same economic group that collectively exceed the regulatory concentration threshold of 20%.

The CVM has mandated that NTZ Empreendimentos must resolve all identified irregularities within the 30-day suspension period in accordance with Article 70 of CVM Resolution 160. The fund manager is required to immediately notify the market and all investors who have already accepted the offering. Those investors have five business days to decide whether to withdraw or revoke their acceptance.

Should the deficiencies remain uncorrected by August 28, 2026, the CVM’s technical team is authorized to order the withdrawal of the offering and cancel the registration permanently. This enforcement action underscores the regulator’s increased scrutiny of credit rights funds amid ongoing compliance challenges in Brazil’s structured products market.
